'Facebook effect' sends a chill through IPO market

S&P is cutting its price target to $27 on Facebook, and the stock may be hurting the IPO market.

Facebook?s stock offering was supposed to jump start the broader IPO market.

It seems to have done the opposite.

After the No. 1 social network?s initial public offering went awry???losing hundreds of millions of dollars for individual investors and raising questions about the fairness of Wall Street stock offerings ? a number of other companies are putting their IPO plans on ice, worried that investors have a low appetite for investing in new stock offerings.

Online travel website Kayak.com is the latest high-profile name to delay its IPO. The company has reportedly postponed the roadshow for an offering, which was scheduled to start last week. Morgan Stanley, which hit the headlines as the lead bank for Facebook?s botched IPO, was due to lead Kayak?s IPO.

?There?s definitely some spillover from Facebook?s IPO to other Internet companies,? said Jay Ritter, a professor of finance at the University of Florida and an expert on IPOs.

?Social media stocks, in particular, have fared poorly since Facebook?s IPO,? he added, noting that Zynga, an online gaming site, has lost 18 percent of its value since May 18.?Daily coupon site Groupon has declined 4 percent since then, and it has lost over 50 percent of its value since it went public in November.

However, it?s important to keep the market impact of Facebook in perspective, Ritter said.

Facebook shares are now down about $10 from the initial offering price of $38. With 2.7 billion shares outstanding, that amounts to a $27 billion loss in value for Facebook since its IPO, he said. Individual investors only own about 15 percent of that amount he added -- a sum that?s a fraction of the $15 trillion aggregate value of the U.S. stock market.

David Menlow, president of the research firm IPOfinancial.com, reckons another factor contributing to the poor IPO market is companies looking to go public are distancing themselves from Morgan Stanley.

Kayak?s delayed offering follows the decision of another company with a Morgan Stanley-led IPO -- Tria Beauty, which sells cosmetics and other beauty products -- to postpone its offering. Tria cited market conditions, but these days that can be a euphemism for ?unable to get the right price in the market,? Menlow said.

?Ever since the Facebook IPO problem, which continues to plague the market, there has been a rash of uncertainty that any technology stock offering is going to get a valuation haircut,? he said.

A company that is looking to go public with a stock price between $14 and $16 may be told that their offering won?t get done at that level, Menlow explained. The company might be offered a range of between $10 and $12, or whatever is appropriate below the desired range, he said.

?Companies may be unwilling to take those numbers,? Menlow said. ?It might not be to their liking.?

Menlow also notes that some companies are launching stock offerings to pay off debt, and they may not want to accept a smaller potential gain from an offering, as it may mean a reduction in the amount of money they receive to service their debt obligations.

Stormy market conditions are also to blame for the chill in the IPO market, analysts say. The benchmark S&P 500 stock index is on pace for its worst monthly decline since September on increasing concern over the euro zone?s debt crisis and the strength of the U.S. economic recovery.

Ritter notes that, traditionally, the IPO pipeline has been hyper-sensitive to strong moves in the stock market, on both the downside and the upside.

?In the past, when the market has taken a downturn, the IPO market has dried up, and May has been a crummy month for stocks,? he said, noting that a dip in the aggregate value of U.S. stocks has wiped away $1 trillion dollars of investor wealth so far this month.

Cancer Genetics is a case in point, he said.

The biotechnology company, which develops genetic tests to detect cancer, filed plans in December for an estimated IPO of up to $50 million to fund research and development and to repay debt. It has since nixed those plans, noted Ritter, and the likely cause was the poor state of the market and not the Facebook debacle, he said.

Another company -- Loyalty Alliance Enterprise, which sells marketing solutions to businesses -- is unlikely to go ahead with its planned public offering, Ritter added. And on Thursday London-based Graff Diamonds said it will postpone its $1 billion IPO in Hong Kong due to poor market conditions.

?The decline in stock markets, especially in Europe, has definitely put a dampener on the IPO market,? he said.

The effect on businesses of a slowing IPO market can be significant, Ritter added.

Corporations go public to raise money to expand their businesses, and if they can?t do that they ultimately invest less and ultimately hire fewer people. Also, existing employees who want to sell their stock in the company won?t be able to -- six months later, when employees can cash in on so called ?restricted stock units.? Those employees might be thinking of buying a new home, or a car, he said.

Facebook?s IPO can be vital to California?s economy, Ritter said. The fiscally distressed state is expected to reap billions from the purchase of new homes, cars, and capital gains taxes from wealthy Facebook employees, he said.

College preperation event at Albany Medical College

ALBANY -Parents of students in grades 7 through 12 are invited to a free event designed to help them prepare their children to succeed in high school and to prepare both parents and teens for college and the future.

Some of the region?s leading educators and career development and health professionals will discuss topics including careers of the future, getting the most out of the high school years, how adolescent health can affect academic achievement, and financial aid and scholarships.

The symposium is sponsored by Albany Medical College?s Science and Technology Entry Program (STEP) in celebration of the 25th anniversary of STEP in New York State. STEP prepares historically underrepresented and economically disadvantaged elementary and secondary school students for college and professional careers in the scientific, technical, health-related or other licensed professions. Michigan is run by the Republican Party, and it looks like the state's government is set to continue policies that cut taxes for busineses and cut income taxes--all of which primarily benefits the better off--while drastically cutting back on things that the state should be funding, such as public higher education.

The first budget under Gov. Snyder gave business a tax cut o $1.8 billion by eliminating the Michigan Business Tax and replacing it with a corporate income tax that doesn't apply to most businesses.? The GOP dominated legislature and government coupled the tax cut for business with an increase in taxes on pensioners and a reduction in some personal tax credits and deductions, so that individuals will now pay $1.4 billion more in 2013 than in 2012.? Michigan has a flat individual income tax, which is scheduled to be cut from 4.35% to 4.25% next January.? The House speaker, Jase Bolger, wants to accelerate the cut, moving it up to July, which would cost the state about $96 million.? Typical taxpayers making $50,000 would see only $23 more in their pockets from that cut.

Meanwhile, the state is cutting its support for public? education.? Significant cuts were made to K-12 education and?public colleges and universities are?dealing with multiple years of cutbacks to support for higher education.? Part of the way that cutback has happened has been in making funding provided to universities one-time.? Money allocated in that way can't be used for anything permanent but only for gap filling, making it very hard for long-term planning necessary to support classes and research.? Wayne State University, located in Detroit and serving the southeast region and with many students who try to work and go to school and thus take longer than students from well-heeled middle class families, suffers particularly from that kind of funding.? It generally means?more use of part-time faculty rather than hiring of new tenured faculty.

Now, you may be one of those people who think that's just fine.? There's been a lot of criticism of tenure lately, and many people who think tenured faculty don't really work hard.? But funny thing.??When Wayne did some?studies of student success to try to determine what factors make a difference, it learned that students do best when they are taught by tenured faculty rather than adjuncts!? That's likely because tenured faculty are committed to the institution, are around more to deal with students beyond the classroom, and have an interest beyond just the subject matter of the class, bringing their research and scholarship into the classroom.

What if Michigan took the $96 million that Bolger wants not to collect and instead?used it to fund public education and to build a state of the art surface rail system for the city of Detroit?? I'd gladly give up my tax cut for that, and I expect many another Detroiter would too.? The problem, of course, is that the rest of the state doesn't understand how important it is to help Detroit and to create modern public transportation systems.? In the long run, the entire state would benefit and it would be well worth the additional tax dollars.

But I'm not holding my breath.

Cowgirl tennis qualifies for NCAA tournament

A small room erupted in celebration in Gallagher-Iba on Tuesday evening, for the OSU women?s tennis team received the news that its season would continue.

Coach Chris Young and his team huddled around a large screen TV to hear their name announced as one of the 64 teams that will compete in the NCAA Women?s Tennis Team Tournament.

?I?m really excited for the girls,? Young said. ?When I came here three years ago, I knew the challenges that were ahead of us. Today is the culmination of three years of hard work and determination, and it?s great for the girls.?

The Cowgirls will face Georgia Tech in the first round, a welcomed opponent.

?I knew that we would be right there playing a team that is pretty even with us,? Young said. ?We have seen them quite a bit. When you have some familiarity for an opponent, it helps us prepare for the moment.?

The Cowgirls? first match in the single-elimination tournament will be May 11, and Young said his team would be well prepared.

?I have experience in this, understanding how the schedule works out this first week will be tricky with finals, but after this week my experience will help them make the transition to post season,? Young said.

Junior C. C. Sardinha anticipated the reward of a postseason, and her hopes built up going into the selection show.

?We are pumped,? Sardinha said. ?There were hints that we would get in. It was just nice to finally hear it.?

Sardinha echoed the confidence that the Cowgirls are taking into the postseason and gave a glimpse of what has been behind the team?s success this season.

?We will play Stanford, UCLA, anyone; bring it on,? she said.

If the Cowgirls knock down their first three opponents, they could face UCLA in the quarterfinals, but that is a long way off.

Malika Rose, a junior for the Cowgirls, said the team is focused on the task at hand.

?We had this goal at the beginning of the year, but we didn?t think it was that close,? Rose said. ?We just want to take it one match at a time and focus on our advantage in the doubles matchups.?

Exclusive: Merrill misstep may hurt battle vs. broker claims

NEW YORK (Reuters) - Merrill Lynch's battle to void a $10 million arbitration ruling suffered a setback this week after a new court filing raised questions about its claims that a panel member had not disclosed her potential conflicts.

The brokerage giant, which Bank of America agreed to acquire in 2008, is challenging an April 3 arbitration ruling that awarded two brokers, Tamara Smolchek and Meri Ramazio, more than $10 million in damages stemming from unpaid compensation claims. But now, one of its key arguments in a high profile case that could affect hundreds of ex-Merrill brokers - that the arbitration panel's chairwoman was biased - may fail because of the firm's own revelations.

Merrill alleged that the panel's chairwoman, Bonnie Pearce, did not properly disclose that she was married to a lawyer, Robert Pearce, who has represented clients against Merrill at least five times and won a $1.3 million award against the brokerage in 2003.

But late Wednesday afternoon, the firm filed a motion that revealed that a Merrill lawyer had in fact researched the husband, Robert Pearce, and his prior award against Merrill, before the start of arbitration hearings.

Merrill's attorney in the Smolchek case, Reed Smith LLP's Douglas Spaulding, late last week found five pages printed from Robert Pearce's website eight days before the first hearing, which was January 23. The discovery was revealed in a Wednesday filing written by Miami lawyer Peter Homer, whom Merrill hired on January 26 to represent it after the Smolchek hearings began.

Spaulding also found three more pages that had been printed two days before hearings and a copy of a 2003 arbitration award where Merrill was ordered to pay Pearce's clients $1.3 million in damages over misleading research.

It is a setback for Merrill, which claimed on multiple occasions it was unaware of Pearce's relationship or the kind of cases her husband pursued until after the Smolchek hearings had begun.

"It's a screw-up; it hurts their credibility with the judge," said Marc Dobin, a lawyer in Jupiter, Florida, who represents brokers and brokerages but is not involved in the Merrill broker compensation cases. "You can't argue arbitrator bias that you didn't know about if you knew about it."

Spaulding could not be reached for comment Friday. A Merrill spokesman declined to comment. The court filing, however, said "Spaulding had no recollection of accessing this information or reviewing it prior to the hearing."

Last month a FINRA arbitration panel awarded more than $10 million in compensatory and punitive damages to Smolchek and Ramazio, who left Merrill in 2008 after it agreed to be purchased by Bank of America.

The panel, which took the unusual step of releasing a detailed 16-page ruling, said the firm wrongfully denied them their deferred pay, took away their book of business and engaged in disruptive and abusive behavior during the hearings.

Merrill argues it doesn't owe a penny. "We believe these claims are without merit and are continuing to defend against these claims," a spokesman said. "An acquisition by itself does not provide any basis for these types of claims."

An hour after receiving the Smolchek decision, Merrill asked a Florida federal judge to vacate the award on grounds the hearings were not fair because the chairwoman was not impartial.

Two weeks ago, a Florida judge gave the firm until June 8 to seek evidence to prove its claims. Industry lawyers considered that ruling a victory for Merrill, since courts usually rule on arbitration decisions without allowing more argument.

That was short-lived. Merrill revealed the discovery of the documents and postponed depositions of the Pearces that had been scheduled for Thursday and Friday, according to Michael Taaffe, a Florida attorney who represents Smolchek and about 1,000 other brokers in similar pay claims against Merrill.

Vacating the Smolchek ruling is important for Merrill not just because of the high cost, but also because the FINRA panel criticized Merrill's conduct toward brokers and during the Smolchek hearings. Although more than 3,000 brokers left Merrill after the BofA deal, the panel noted not one claim for vesting of deferred pay was approved by the firm's "good reason" committee.

Merrill's latest filing suggests the firm made false claims about what it knew, which could land Merrill in hot water with regulators and with the court, industry lawyers say.

"The revelation hurts Merrill's argument," said Jonathan Uretsky, a New York-based lawyer who represents brokerages, but is not currently involved in any Merrill cases.

Merrill, in its latest filing, insists the newly revealed documents do not matter and that Pearce still failed to disclose key details about her husband's practice.

Uretsky said lawyers can object to the assigned arbitrators before the hearing and twice after the panel is assigned: first during a telephone conference that occurs before the hearing begins and then at the beginning of the hearing. He doubts Pearce's marriage to a lawyer for investors - by itself - means she is biased.

"The whole purpose of the disclosure is not to give you an out," Uretsky said. "If I don't disclose to you that 'red' means 'stop,' (you still) know to not go through the light."

The Walking Dead is an exciting and thrilling series so it is best for you to avoid spoilers as much as possible. You can do all the tips mentioned above with sheer willpower. Avoid anything which might tell you about what is going to happen on the 3rd season so you won't end up getting frustrated at the end of the season.

Scientists find gold-plated fossil solution

An international team of scientists in the University of Leicester's Department of Geology has found a solution to a research problem involving fossils right next door - in the University's Chemistry Department.

Many objects, including fossils, can reveal a huge amount of scientific information when studied using the high power magnification of electron microscopes, but in order to study tiny fossils or microscopic details of larger fossils in this way, palaeontologists routinely coat the fossils with an ultra-thin layer of gold. This obviously changes the way the fossil looks, and so it is often necessary to remove the gold after analysis, but this is difficult and expensive and uses dangerous chemicals like cyanide.

University of Leicester chemists are developing industrial electro-plating and polishing techniques using liquid salts called 'ionic liquids' which are safe, cheap and environmentally friendly. Scientists from the two departments got together to see whether a similar process could be used on fossils. The work was supported by the Natural Environment Research Council (NERC).

They found that ionic liquids can remove gold quickly and easily without damaging even tiny, delicate fossils. The liquids are safe to handle, can be simply disposed of and can even dissolve the gold without affecting the glue that holds the fossil specimen in place for analysis.

Professor Mark Purnell, from the Department of Geology, said: "There are many cases where collecting the evidence required for research affects fossils or other objects in ways that might be considered as somewhat destructive ? gold coating for electron microscopy falls into this category. Understandably, this creates problems for places like museums which have to balance the value of research on their collections against the risk that specimens will be affected. This approach to gold removal offers a new way of tackling this problem that is safe for both researchers and the specimens."

Professor Andy Abbott, from the Department of Chemistry, added: "This is a very nice demonstration of the use of ionic liquids for metal recovery but it is just the tip of the iceberg as we are using this technology for the recycling of a wide range of alloys and waste materials. The University of Leicester is building a strong reputation for the development of sustainable materials."

SEATTLE (AP) - Considering his rarified place in baseball history, it's no wonder Alex Liddi could not stop grinning.

He also wouldn't mind getting use to the occasional curtain call.

"Obviously big-time guys do it and when you have to do it a good thing," Liddi said.

Liddi hit the first major league grand slam by an Italian-born player in half-century, Kevin Millwood threw six shutout innings and the Seattle Mariners took two of three from AL West-leading Texas with a 5-3 win over the Rangers on Wednesday.

Liddi made Texas manager Ron Washington pay for the decision to pitch around Dustin Ackley with one out in the fifth inning. Ackley was intentionally walked to load the bases, and Liddi lined the first pitch from Scott Feldman (0-2) just over the yellow line on top of the left-field wall for his third homer this season.

The opportunities for Liddi have been few. Wednesday was his 20th start in 46 games. He came up as a third baseman, but with the emergence of Kyle Seager as the Mariners everyday third baseman for now, Liddi has learned how to play first base and made his second start of the season on Wednesday in left field.

Almost on cue, his day started rough when he lost a fly ball against a cloudy, but bright sky and committed a two-base error in the second inning. But that became an afterthought thanks to his slam in the fifth.

"He's a guy that's capable of doing some damage up there. He works as hard as anybody we have. That's the reason he's able to maintain the way he does when he doesn't play," Seattle manager Eric Wedge said. "He's still a young hitter, but he's learned how to hit."

Millwood (3-4) was brilliant for a third consecutive start. Coming off a two-hitter at Colorado, Millwood gave up three hits in six innings. Only a high pitch count ended his day early.

Millwood silenced yet another former team, and holding the top offense in baseball to just three hits might have been more impressive than his complete game against the Rockies. Millwood has gone 17 straight innings without allowing a run. Dating back to a three-run second inning against Detroit on May 8, Millwood has given up just one run in his last 25 innings. The 17 straight scoreless innings is the second-longest streak of his career.

"The biggest thing was just confidence has been building for the last couple of weeks so I felt like when I got out there it just felt like I was going to have a good game and throw the ball well," Millwood said. "When I missed guys made good plays or they just fouled it off. Confidence goes a long ways in this game."

Texas made it interesting breaking up the shutout with Josh Hamilton's RBI double and Adrian Beltre's two-run homer in the eighth off reliever Tom Wilhelmsen. But Brandon League rebounded from some shaky recent outings and shut down the Rangers in the ninth for his ninth save in 12 chances.

Liddi was the lone hitting star for Seattle, which won with only four hits. He doubled in the first, but was caught too far off the bag when Ichiro Suzuki lined out and was doubled up to end the inning. Feldman then walked the bases loaded to begin the third, and Michael Saunders' fly ball to center was deep enough to score Kyle Seager.

Saunders opened the fifth with a walk and Mike Carp followed with a bloop single that fell into shallow left and just out of the reach of shortstop Elvis Andrus. Saunders and Carp advanced 90 feet when Ian Kinsler failed to catch Feldman's pickoff attempt at second base, but held as Brendan Ryan grounded out to shortstop with the infield playing in.

Ackley was walked intentionally to bring up Liddi. Given a pitch at the top of the strike zone to start the at-bat, Liddi turned on the pitch, lining it down the left-field line and barely clearing the hand-operated scoreboard.

"He made one bad pitch to Liddi. Other than that I thought he made a ton of good pitches," Washington said of Feldman. "It was unfortunate the one bad pitch he made they got four runs on. He tried to throw a sinker and it didn't sink."

Liddi's slam was just the second in major league history by an Italian born player. Reno Bertoia hit a grand slam on May 7, 1958, for Detroit against Washington.

"As a hitter it's always a good challenge, because they just walked the guys in front of you," Liddi said. "I'm always pumped when that happens."

NOTES: Feldman tied his career high with five walks in 4 1-3 innings. He was starting in place of Neftali Feliz, who went on the disabled list Monday. ... Liddi's grand slam was the second this season for Seattle. Saunders hit a grand slam earlier this month in Toronto. ... The Rangers had won five straight road series vs. AL West foes. ...
